Terms and Conditions

“Pan Pacific Connections” is a corporate-booker programme managed by Pan Pacific Marketing Services Pte Ltd (“PPMS”), whereby bookers for corporate, business travel or business meeting are awarded with points (“Points”) for arranging bookings at participating hotels identified by PPMS (“Participating Hotels”), provided that such bookings meet the requirements stipulated by PPMS. Such requirements include without limitation requirements relating to Qualifying Spend (as defined below in Clause B).

The Participating Hotels may include any hotel, resort or serviced suite managed, owned and/or operated by Pan Pacific Hotels Group Limited and/or its subsidiaries (collectively the “Pan Pacific Group”), including without limitation those under the “Pan Pacific” brand or “PARKROYAL COLLECTION” brand or “PARKROYAL” brand.

PPMS reserves the right to update, from time to time and at its sole discretion, the list of Participating Hotels, and the details of such Participating Hotels shall be published on panpacificconnections.com. Accordingly, please note that you are advised to check the list of Participating Hotels on a regular basis to ensure.

By participating in the “Pan Pacific Connections” programme (“PPC” or “Programme”), you shall be deemed to have entered into an agreement with PPMS on the terms and conditions set out hereto (“PPC Terms and Conditions”): conditions set out hereto (“PPC Terms and Conditions”):

MEMBERSHIP AND PARTICIPATION
  1. Membership to the Programme is open to:
    • any company which has entered into an agreement with a Participating Hotel for contracted and negotiated rates such Participating Hotel; and
    • any individual corporate booker, who is a legal adult and books Qualifying Spend at a Participating Hotel for and on behalf of his/her employer for business purposes, (collectively “Eligible Persons”).

    Membership is solely for corporate bookers only. Employees of the Pan Pacific Hotels Group, the Participating Hotels, travel agencies, online travel booking agencies, wholesalers, property agents, relocation agents and meeting/MICE agents are not eligible to sign-up or participate in the Programme.
    Notwithstanding the above or anything in these PPC Terms and Conditions, participation and membership in the Programme are subject to approval by PPMS, and PPMS expressly reserves the right to refuse acceptance of any application (regardless of eligibility of any applicant) without giving any reason.
  2. To become a member of the Programme, an Eligible Person must complete mandatory registration by the following modes:
    • online at panpacificconnections.com or
    • completing relevant enrolment forms available and submitting the same to PPMS and/or Sales Managers of Participating Hotels
    • please allow up to seven (7) working days processing time.

    Enrolment forms are contained in brochures about Pan Pacific Connections or may be obtained from Sales Managers of Participating Hotels. Eligible Persons should ensure that the latest enrolment forms are used for the purposes of registration. In addition to the above, should any information be wrong or incomplete, PPMS reserves the right to reject the registration application.
  3. Each member to the Programme (“Member”) must provide valid information required by PPMS throughout its membership, and update such information promptly if there is any change.
  4. Each Member shall only be entitled to maintain one (1) account under the “Pan Pacific Connections” There shall be no entitlement to any Points until an Eligible Person is successfully registered as a Member. Membership is not transferable.
  5. By signing up, the Eligible Person and/or Member confirms acceptance of and undertakes to comply with the following throughout its membership in the Programme:
    • these PPC Terms and Conditions, which are subject to change from time to time at PPMS’ sole discretion and without notice;
    • the data privacy / data protection policy, which is published by the Pan Pacific Group on its corporate website(s) and is subject to change from time to time at the Pan Pacific Group’s sole discretion and without notice;
    • the terms of use with regard to the use of websites owned and/or managed by the Pan Pacific Group, which is published by the Pan Pacific Group on its corporate website(s) and is subject to change from time to time at the Pan Pacific Group’s sole discretion and without notice; and/or
    • any term, condition or guideline which may be imposed by the Pan Pacific Group relating to the Programme that the Eligible Person/Member is informed of (collectively the “Terms”).
  6. Each Member agrees that it shall review the Terms on an on-going regular basis, and its continuous participation in the Programme shall be deemed as continuous acceptance of such Terms (including any revisions thereto). In the event that any Member disagrees with any Term at any time, it should terminate its account.
  7. PPMS shall also be entitled to terminate account(s) and/or revoke Points in the event of any of the following circumstances:
    • a Member has multiple accounts;
    • a Member or its account is suspected of being related to or involved in any fraudulent or abusive activity;
    • there is a breach by the Member of the Terms.
  8. All Eligible Persons and/or Members are responsible for ensuring that they have, at all times, the necessary qualifications and meet all relevant requirements (including those hereto) to sign-up and participate in the Programme, and in particular:
    • any Eligible Person and/or Member which is a corporate entity should obtain all necessary internal approvals and authorisation from its Board and/or Management;
    • any Eligible Person and/or Member which is an individual should have the legal capacity in the jurisdiction of his/her residence to enter into an agreement and/or participate in the Programme; and/or
    • any Eligible Person and/or Member should, at all times, obtain and maintain all necessary approvals, licences and/or permits required at law in the country of its residence.

    In particular, some employers or corporate bookers, by policy, may prohibit or restrict their employees’ participation in the Programme, and PPMS assumes no responsibility or liability for compliance with such policies. Eligible Persons and/or Members are responsible for complying with any applicable terms and conditions of their employment, their employers’ internal policies and procedures, and any other rules or regulations to which they are subject.
  9. Pan Pacific Group and the Participating Hotels shall not be obliged to check or confirm whether any Eligible Person and/or Member has the necessary qualifications and/or meet all relevant requirements (as described in Clause A8 above). Acceptance of the sign-up and granting of the membership shall not be deemed to be:
    • an endorsement by the Pan Pacific Group and/or Participating Hotels that such Eligible Person and/or Member has such necessary qualifications and/or meet all such relevant requirements; or
    • a waiver by Pan Pacific Group and/or Participating Hotels of this condition.
  10. In the event that it is found or it cannot be proved (to PPMS’ satisfaction at its sole discretion) that the Eligible Person and/or Member does not have such necessary qualification and/or meet all such relevant requirements (as described in Clause A8 above), PPMS shall be entitled to do the following immediately without notice:
    • reject the application; or
    • terminate the membership and Member’s account,

    (as the case may be), and the Pan Pacific Group and Participating Hotels shall not be liable to such Eligible Person and/or Member for such rejection or termination (as the case may be). Such affected Eligible Persons and/or Members agree to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from such rejection or termination (as the case may be). This Clause shall survive the rejection of any membership application or termination of any membership under the Programme.
  11. In the event that any part of the Programme (including without limitation the rewarding and redemption of Points) is prohibited by any applicable law and regulations, PPMS shall be entitled to elect (at its sole discretion) the suspension, termination, replacement or alteration of the Programme (wholly or in part) in such country for the purposes of compliance. Pan Pacific Group and the Participating Hotels shall not be liable to the Members who are affected by such suspension, termination, replacement or alteration (as the case may be). Such affected Members agree to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from such suspension, termination, replacement or alteration (as the case may be). This Clause shall survive the rejection of any membership application or termination of any membership under the Programme.
  12. Each Eligible Person and/or Member expressly agrees that in it shall, at PPMS’ request, submit to PPMS all documents (to PPMS’ satisfaction at its sole discretion) to evidence that it has such necessary qualification and/or meet all such relevant requirements (as described in Clause A8 above). Clause A10 applies in the event that such Eligible Person and/or Member fails to submit such documents to PPMS’ satisfaction (at its sole discretion).
  13. Each Eligible Person and/or Member undertakes to indemnify and hold harmless the Pan Pacific Group and/or the Participating Hotels from any and all claims, costs, damages, expenses (including legal expenses on an indemnity basis), fines, liabilities, proceedings arising due to a breach of the Terms by the Eligible Person and/or Member (as the case may be). This Clause shall survive the rejection of any membership application or termination of any membership under the Programme.
  14. In the event that a Member (who is an individual) changes his/her employer, he/she must inform PPMS in writing. The membership is not transferable to his/her new employer; and accordingly, his/her account will be terminated. Such Member will be required to submit a new membership application.
  15. Members are responsible, at all times, to keep private and confidential their login details, passwords and/or all such information provided by PPMS used to identify them (collectively “Identifier Details”). PPMS will not be liable for any damage or loss (including without limitation wrongful redemption of Points or loss of privacy) arising from the disclosure or loss or misuse of Identifier Details due to the Member’s breach of this Clause. The Member shall identify and hold harmless the Pan Pacific Group and/or the Participating Hotels from any and all claims, costs, damages, expenses (including legal expenses on an indemnity basis), fines, liabilities, proceedings arising due to any such disclosure, loss or misuse of Identifier Details. This Clause shall survive the rejection of any membership application or termination of any membership under the Programme.
  16. Each Member agree that it has given its express consent to receive communications (in any communication mode, method or form) from the Pan Pacific Group and/or Participating Hotels, and such communications may include without limitation latest news and promotions in Participating Hotels. A Member may opt out of receiving communications by unsubscribing in writing. However, the opting out of such communications may result in cancellation of membership to the Programme as it may not be possible to continue providing services under such circumstances.
  17. It is also acknowledged that a Member may use the digital portal panpacificconnections.com to access details relating to its membership and redemption of Rewards. However, the Members are responsible for keeping records of these details and PPMS is not obliged to maintain records in the digital portal for more than one year or such period which PPMS deems fit (at its sole discretion). Accordingly, PPMS shall also not be obliged to respond to any request for past transactions from any Member or Cancelled User.
  18. Notwithstanding anything herein, the Pan Pacific Group shall not be liable in any way for any direct, special, incidental, indirect or consequential damage, including without limitation any loss of profits or loss of data arising (whether directly or indirectly) from the signing up to the Programme, membership in the Programme, participation in the Programme (including without limitation redemption of Points) and/or use of the digital portal panpacificconnections.com. This Clause shall survive the rejection of any membership application or termination of any membership under the Programme.
QUALIFYING SPEND
  1. For the purposes of these PPC Terms and Conditions, “Qualifying Spend” shall have the description set out in this Clause B.
  2. Subject to these PPC Terms and Conditions, Qualifying Spend includes all spending in relation to guest rooms, meetings and events, conference rooms, food and beverage services linked to such meetings and events, and all-inclusive meeting packages.
  3. Rates deemed as Qualifying Spend includes corporate rates, all “best available” rates and subject to terms and conditions of any promotion, that promotion’s promotion rates.
  4. Subject to Clause B3 above, Qualifying Spend on guest rooms shall be those of guest rooms that that the Member books for others. It excludes spending made in connection with the Member’s own guest room.
  5. Qualifying Spend does not include any taxes, gratuities, service fees, third-party vendor/supplier charges/expenses/fees, or attendee incidentals (including without limitation individual meals, individual food and beverages, or other expenses) and any leisure spend.
  6. Qualifying Spend should also be made during periods allowed by PPMS and the Participating Hotels for determination of Points. In this regard, PPMS and the Participating Hotel reserves the right to block out statutory national holidays, other important conference periods and other such other periods (which they deem fit at their sole discretion) during which no Points can be accumulated.
POINTS EARNING
  1. The Points system is subject to change by PPMS, at its sole discretion, from time to time. The Points system shall be published on panpacificconnections.com; and Members shall have the responsibility to review the Points system prior to booking.

    In the event that there is a discrepancy in the formula for the determination of points set out in (a) these PPC Terms and Conditions and (b) the digital portal on panpacificconnections.com, the digital portal will prevail.
  2. Notwithstanding anything in the Terms, PPMS shall reserve the absolute right and be entitled to determine the Points granted. PPMS’ determination shall also be final, conclusive and binding on the Members.
  3. Subject to these PPC Terms and Conditions and Clause C3(d) below:
    • Members will earn one (1) point for every One Hundred Singapore Dollars (S$100) or its equivalent in other currencies (at an exchange rate to be determined by PPMS at its discretion) paid towards Qualifying Spend for individual guest room bookings at Participating Hotels;
    • Members will earn one (1) point for every One Hundred Singapore Dollars (S$100) or its equivalent in other currencies (at an exchange rate to be determined by PPMS at its discretion) paid towards Qualifying Spend for group guest room bookings at Participating Hotels, PROVIDED ALWAYS THAT a minimum of 10 guest rooms are booked per transaction;
    • Members will earn one (1) point for every Two Hundred Singapore Dollars (S$200) or its equivalent in other currencies (at an exchange rate to be determined by PPMS at its sole discretion) paid towards Qualifying spend for bookings for Events and Catering (as defined hereinafter). For the purpose of this Clause, “Events and Catering” include event space rental, and food and beverage to be provided at the event space during the rental period; and it shall exclude any guest room bookings; and
    • PPMS may reward partial Points to Members for any Qualifying Spend booked in accordance with Clause C3(a) to (c), PROVIDED ALWAYS THAT such partial Point (if any awarded) shall be rounded down to one decimal place. For illustration purposes only, if a Member books an individual guest room at a Participating Hotel and such booking has a Qualifying Spend of S$228, the Member shall earn to 2.2 Points (assuming other Terms are complied with).
  4. PPMS shall have the sole and unfettered discretion in determining the Points to be awarded to a Member and credit the relevant Points to the Member’s account. The crediting of any Points to a Member’s account is subject to payment received by the relevant Participating Hotel for any such booking made in accordance with Clause C3 above, and PPMS shall have the sole and unfettered discretion in determining when the Points are to be credited in the Member’s account.
  5. Points may only be earned once for any Qualifying Spend (i.e. no double-counting); and only direct bookings made using the following channels are eligible for accrual of Points:
    • through panpacificconnections.com;
    • through pphg.com;
    • through panpacific.com;
    • through parkroyalhotels.com;
    • through call centres identified by the Pan Pacific Group on their corporate website(s);
    • through the relevant Participating Hotel in which the Qualifying Spend is to be made; and s
    • through the Sales Managers of the relevant Participating Hotel in which the Qualifying Spend is to be made.
  6. Bookings made via other booking channels such as Online Travel Agents (OTAs), Global Distribution System (GDS), travel agencies, or any other third-party channels are not eligible for accruals of Points.
  7. In the event of a dispute between Members who claimed Points for the same Qualifying Spend, PPMS shall decide, in its sole discretion, to which Member the relevant Points are to be allocated, and if multiple Members are entitled, in which proportion these Points are to be allocated to each such Member. PPMS’ determination shall also be final, conclusive, and binding on these Members.
  8. In respect of bookings made through the channels set out in Clause C5(a)-(d), the Member must insert its membership number in the “Comments” section of each booking form before submitting such booking.
  9. In respect of bookings made through channels set out in Clause C5(e)-(g), the Member must do the following prior to making relevant booking:
    • notify the relevant Participating Hotel, call centre agent or Sales Manager (as the case may be) that they wish to earn Points on any Qualifying Spend; and
    • provide its membership number to the relevant Participating Hotel, call centre agent or Sales Manager (as the case may be).
  10. Each Member shall be responsible for any tax, which the Points or rewards received through participation in the Programme may be subject to, including without limitation foreign, federal, state and local taxes, surcharges, security charges, and departure taxes. In particular, the Member’s responsibility for such tax liabilities, include without limitation disclosure connected with the receipt and/or use of Points and the rewards redeemed from such Points. The Member undertakes to indemnify and hold harmless the Pan Pacific Group and/or the Participating Hotels from any and all claims, costs, damages, expenses (including legal expenses on an indemnity basis), fines, liabilities, proceedings arising from such tax liabilities to be borne by the Member. This Clause shall survive the termination of any membership under the Programme.
  11. Points will not be allocated in the event that any or part of the bookings are cancelled. Cancellation charges applicable to the Participating Hotel as published on the corporate website(s) of the Pan Pacific Group, as at the time of cancellation, applies.
  12. Points accrued are not transferable to other Members nor are the Points exchangeable for cash.
  13. Allocation of Points and rewards from the redemption of Points are linked to each Member’s membership number. Members are advised to login to the digital portal on panpacificconnections.com from time to time to check on such allocation and redemption using the Identifier Details.
  14. On the anniversary of the Member’s joining the Programme, the Member’s account will be refreshed, and the Points accrued between an anniversary date and the immediately subsequent next anniversary date (“Validity Period”) must be used within the Validity Period. In view that each Point is valid for and must be redeemed within the Validity Period, Points not redeemed within the Validity Period shall be forfeited, and PPMS shall be not be obliged to refund or exchange (whether for cash, Points or any other item) the Points or extend the validity period for such Points. Each Member is advised to monitor the Validity Period of each Point that it has been awarded, and PPMS shall not be obliged to remind or notify the Member (a) of the Validity Period of Points; and/or (b) that the Member’s Points are expiring and will be forfeited if such Points are not utilised within the Validity Period. Notwithstanding anything in this Clause, PPMS shall be entitled (but not obliged) to extend the validity period of any Points, and such extension shall be granted (A) at PPMS’ sole and unfettered discretion, and (B) on such terms and conditions which PPMS (in its sole and unfettered discretion) deems fit to impose.
  15. Subject to and without prejudice to Clauses C2 and C4:
    • any Member who believes that its account activity is inaccurate should, in the first instance, contact the relevant Participating Hotel at which the inaccurate records of Qualifying Spend was made;
    • any adjustments to any Point which are allowed by PPMS (at its sole discretion) must be made within the following periods:
      1. no later than 3 months after the last check-out date of any room booked which entitled the Member to the Points pursuant to Clause C3(a) to (b); or
      2. 30 days from the last date of the event held under the “Events and Catering” category which entitled the Member to Points pursuant to Clause C3(c),
    • no later than 3 months after the last check-out date of any room booked which entitled the Member to the Points pursuant to Clause C3(a) to (b); or 30 days from the last date of the event held under the “Events and Catering” category which entitled the Member to Points pursuant to Clause C3(c), and accordingly, the Member shall have the responsibility in ensuring that it contacts the Participating Hotel through the digital portal panpacificconnections.com in a timely fashion to submit a request for adjustment;
    • in connection to any adjustment request, Members are required to submit all relevant hotel receipts and invoices to the Participating Hotel and/or PPMS for verification purposes; and
    • each of the Participating Hotel and/or PPMS reserves the right to disallow any adjustment to the Points if the documentation is not provided to its satisfaction (at its sole discretion) and/or the request is made such that adjustments cannot be made within the relevant periods set out in Clause C15(b).
REDEMPTION
  1. Redemption of Points for any reward (“Reward”) is to be made online via the digital portal panpacificconnections.com in accordance with the terms and conditions stipulated by PPMS or the relevant Participating Hotels on the aforesaid digital portal for each Reward (“Redemption Terms”). As the Redemption Terms are subject to change from time to time by PPMS or the Participating Hotels (at their sole discretion), Members shall be responsible to review the Redemption Terms and ensuring that they meet the requirements for the redemption, as at the point of redemption.
  2. In particular, when selecting the Reward, the Member shall ensure that such Reward claimed for is not illegal or prohibited in the country in which the Reward is to be delivered to or where the Member is based in (“Prohibited Redemption”). Each Member shall identify and hold harmless the Pan Pacific Group and/or the Participating Hotels from any and all claims, costs, damages, expenses (including legal expenses on an indemnity basis), fines, liabilities, proceedings arising due to any Prohibited Redemption. This Clause shall survive the termination of any membership under the Programme.
  3. PPMS and/or Participating Hotels shall be entitled to determine the availability of each Reward at their sole discretion. In the event that a Reward is deemed to be offensive or illegal, PPMS and/or the Participating Hotel may withdraw the Reward from redemption. All Rewards are subjected to availability, and in the event that they are not available, PPMS and/or the Participating Hotel reserves the right to void the redemption and such decision by PPMS and/or the Participating Hotel to void the redemption shall be e final, conclusive and binding on the Member.
  4. All applications submitted for redemption of Rewards are irrevocable and cannot be changed, and when a redemption application is made, a confirmation email on the redemption will be sent to Member. Such confirmation email is not an acceptance of the application for the Reward and indicative that the Reward has been successfully redeemed.
  5. Participation Hotel’s Sales Manager shall contact the Member to confirm the approval or rejection of any application to redeem a Reward. Alternatively, if a Reward is unavailable for redemption, PPMS shall be entitled not to reject the application by giving notice to the Member and in such a case, the Member shall be entitled to elect between applying any another Reward (which it qualifies for) or to retain its accumulated points.
  6. The images of the Rewards posted on panpacificconnections.com are not indicative of their availability (unless otherwise stated) and are for reference only. All Rewards are given on a “as-is” basis, and Pan Pacific Group and/or the Participating Hotel do not provide any warranties or representations in relation to the Rewards. No relationship of partnership, distributorship, agency or guaranty exists between PPMS and the suppliers of the Rewards. It is the sole liability of such suppliers for any quality-related issues relating to the Rewards redeemed, and Pan Pacific Group and/or the Participating Hotels disclaims any liability whatsoever. Members agree to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from the quality or use of such Rewards. This Clause shall survive the termination of any membership under the Programme.
  7. In relation to any Reward, there shall be no refund, exchange (whether for cash, Points or any other item) or return of Points allowed.
  8. In the event that the Reward is a deliverable item, the Member shall ensure that it provides accurately all information required for the delivery of the Reward when it submits a redemption application, including (if applicable) delivery means, address as well as the consignee. PPMS and/or the Participating Hotel reserves the right (but shall not be obliged) to void any redemption application in the event that the Member fails to provide all required information for the redemption and/or deliver of the Reward.
  9. The Member shall bear all liabilities in the event that it provides inaccurate or incomplete information to PPMS and/or the Participating Hotel in its redemption application for Rewards. Pan Pacific Group and Participating Hotels disclaim all liabilities for any loss of Rewards/Points or any other losses arising from negligent or wilful action(s) or omission(s) on the part of the Members and Members agree to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from its negligent or wilful action(s) or omission(s). This Clause shall survive the termination of any membership under the Programme.
  10. Unless otherwise stated on the digital portal panpacificconnections.com, the delivery means of Rewards shall be prescribed by PPMS and/or the Participating Hotels (at their sole discretion) on the digital portal panpacificconnections.com. The Member shall not be entitled to request for alternate delivery means. Accordingly, the Member shall be deemed to agree to the delivery means prescribed when it redeems the relevant Reward, and shall be responsible for ensuring that it is available to accept service of such delivery. The delivery service provider is a third-party supplier, and Pan Pacific Group and/or the Participating Hotels disclaim any liability whatsoever arising from the delivery of such Rewards. Members agree to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from the delivery of such Rewards. This Clause shall survive the termination of any membership under the Programme. The Member agree that it shall settle any dispute with the delivery service provider arising in the course of such delivery through mutual negotiation in good faith.
  11. Upon receipt of the Rewards, Members shall acknowledge such receipt by email sent in response to an email acknowledgement request by Participating Hotels. However, if the Member does not do not receive the items 6 weeks from date of being informed of a successful redemption, the Member should contact the relevant Participating Hotel accordingly. Please note that if a Member fail to acknowledge receipt of any Reward, PPMS shall be entitled to suspend that Member’s membership and/or any subsequent redemption of Rewards without notice and without liability to the Member.
  12. Notwithstanding anything set out in these PPC Terms and Conditions, PPMS and/or the Participating Hotels shall be entitled to do the following:
    • there is a failure to pay in a timely manner any and all fees relating to the bookings by that Member (including without limitation room charges, incidentals such as utility fees, service fees and other expenses);
    • there is any violation by any guest indicated in that Member’s bookings; and/or
    • there is a breach by the Member in relation to any agreement or any other instrument entered into by such Member with any member of the Pan Pacific Group and/or the Participating Hotels.
TERMINATION
  1. In the event that the Member ceases to be eligible for membership under the Programme, its membership and account would be terminated. In such instances, it shall inform PPMS as soon as reasonably possible.
  2. A member may request to terminate its membership by submitting a written request via email to any of Participating Hotels’ Sales Manager or under the “Contact Us” section in the digital portal panpacificconnections.com. Such request shall be processed by PPMS at its sole discretion, and PPMS shall be entitled (but not obliged) to reject any such request.
  3. PPMS is entitled to terminate the membership of any Member immediately, at any time, without any further notice and without compensation to the Member in the following circumstances:
    • that Member’s act(s) and/or omission(s) materially prejudice the rights and interests of Pan Pacific Group, the Participating Hotels and/or any other Members;
    • that Member breaches the Terms or any applicable laws or regulations;
    • that Member ceases or announces its intention to cease to carry on its business;
    • that Member becomes insolvent or is unable to pay its debts as they fall due or suspends or threatens to suspend making payments with respect to all or any class of its debts or enters into any composition or arrangement with its creditors or makes a general assignment for the benefit of its creditors;
    • that Member goes into liquidation or if an order is made or a resolution is passed for the winding up of that Member whether voluntarily or compulsorily (except for the purpose of a bona fide reconstruction or amalgamation);
    • that Member has a receiver or receiver and manager or judicial manager appointed over any part of its assets or undertaking;
    • it is found that such Member ceases to be eligible for membership in the Programme;
    • the membership of such Member to the Programme is against public interest or prohibited; and/or
    • PPMS receives a request by any competent judicial authority or governmental authority to terminate such Member’s membership.
  4. In the event of a Member’s membership is terminated, PPMS is entitled to immediately cancel any unredeemed Points, membership rights and/or redemptions (when delivery has not been made) previously available to such Member. All unredeemed Points cancelled under this Clause E4 are deemed forfeited and are not exchangeable for cash or other forms of compensation.
  5. Without prejudice to Clause E4 and at such Member’s written request, PPMS shall have the discretion to allow in exceptional cases such Member (whose membership has been terminated) an additional month from effective date of termination to access the digital portal panpacificconnections.com using its Identifier Details to redeem for Rewards using any unredeemed Points which had been credited to that Member’s account as at the effective date of termination.
  6. When a Member’s membership is terminated (“Cancelled User”):
    • the Cancelled User shall not be allowed to participate in any activity related to the Programme or Members with effect from the date of such termination;
    • the Cancelled User shall not be entitled to any rights and interests exclusively available to Members with effect from the date of such termination;
    • the Cancelled User’s account on the digital portal panpacificconnections.com is deemed to be cancelled; and
    • any and all transactions made via the Cancelled User’s account on the digital portal panpacificconnections.com with effect from the date of such termination shall be voided (notwithstanding that the account has not been deactivated).
  7. The Cancelled User should cease use of its account on the digital portal panpacificconnections.com with effect to the date of the termination of its membership.
  8. It is acknowledged that the Cancelled User’s account may take some time to be deactivated and in the event that it is not deactivated by the date of termination of membership to the Programme, it should not be taken as a waiver by PPMS of its rights herein and Clause E6(d) applies regardless. Pan Pacific Group and/or PPMS disclaims all claims and liabilities in relation to any transactions made on the Cancelled User’s account from the effective date of termination of its membership as they are invalid (“Invalid Transactions”). The Cancelled User agrees to waive any and all claims against Pan Pacific Group and the Participating Hotels arising from such Invalid Transactions. This Clause shall survive the termination of any membership under the Programme.
  9. Unless otherwise allowed by PPMS on such terms and conditions which PPMS may elect to impose at its sole discretion, Cancelled Users ceased to be eligible and are prohibited from reapplying for membership to the Programme.
  10. The membership of any Member, whether individual or corporate, shall be automatically suspended if there is no online activity for its account via the digital portal panpacificconnections.com for a consecutive period of twelve (12) calendar months. The Member would need to submit an application to reactivate the suspended membership. To reactivate its account, the Member should contact PPMS and/or Sales Managers of Participating Hotels to obtain further information.
MISCELLANEOUS
  1. Failure by the Pan Pacific Group and/or the Participating Hotels to exercise, and any delay, forbearance, or indulgence in exercising any right, power remedy under the Terms (in whole or in part) shall not operate as a waiver of that right, power, or remedy; nor shall it preclude the exercise of such right, power or remedy at any subsequent time or on any subsequent occasion.
  2. Save for any member of the Pan Pacific Group (including PPMS) and/or the Participating Hotel and a Member, no other person shall have a right to enforce any of these PPC Terms and Conditions.
  3. These PPC Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore. Members shall submit to the exclusive jurisdiction of the courts of the Republic of Singapore to resolve any dispute arising under or in connection with these PPC Terms and Conditions.
  4. If at any time any provision of these PPC Terms and Conditions is or becomes invalid, illegal or unenforceable in any respect, the validity, legality or enforceability of the remaining provisions of these PPC Terms and Conditions shall not in any way be affected or impaired thereby.
  5. Pan Pacific Group has a zero-tolerance policy towards fraud, and bribery is fundamentally inconsistent with the Pan Pacific Group’s values and ethics. Accordingly, each Member acknowledges the above and shall at its own costs and expense observe and comply with the provisions of all applicable laws, rules, regulations, orders and/or statutory provisions in relation to fraud and bribery.
